ACCEPTANCE
These Terms & Conditions and the Limited Warranty and Disclaimer are attached to and incorporated into PrimeFlow’s quote. When the customer approves the quote electronically (including by electronic signature in Jobber), the customer agrees to the quote, the Drawing attached to or included in the quote, these Terms & Conditions, and the Limited Warranty and Disclaimer. No separate signature is required.
These terms supplement the approved estimate or quote, including any quote approved electronically through PrimeFlow’s quoting system (such as Jobber). The approved scope, selections, price, the Drawing/site plan attached to or included in the quote, accepted change orders, and these Terms & Conditions and Limited Warranty together form the agreement between the customer and PrimeFlow Gutters.
PAYMENT TERMS — 50% UP FRONT / 50% AT COMPLETION
A deposit equal to 50% of the total contract amount is due upon approval of the approved estimate or quote. PrimeFlow Gutters is not required to reserve an installation date, order or allocate materials, or begin work until the deposit has cleared. The remaining 50% is due immediately upon substantial completion of the contracted work. Documented minor punch-list or corrective items that do not prevent ordinary use of the installed system do not authorize withholding the undisputed balance. Late balances are subject to a 1.5% monthly charge to the extent permitted by law.
1. SCOPE OF WORK; SCOPE DEFINED BY DRAWING
PrimeFlow Gutters will perform only the work described in the approved estimate or quote AND shown on the Drawing / site plan attached to, included in, or referenced by that estimate or quote (the “Drawing”). Product size, color, footage, downspout quantity and placement, gutter guards, removal work, and all other selections are controlled by the approved quote and Drawing.
Anything not shown on the Drawing attached to or included in the approved quote is NOT included — including areas the customer believed were fine, did not want, overlooked, or assumed were included. Extra work requires a written change order with pricing before work proceeds. No verbal promises modify this agreement. By approving the quote, the customer also approves the Drawing as the complete scope of work.
Unless the quote states otherwise, gutter work may include custom-built-on-site seamless aluminum gutters (.032 aluminum), oversized downspouts, rust-resistant aluminum materials, hidden hangers approximately every 16 inches, professional installation and cleanup, and components selected for Florida weather conditions — but only to the extent shown on the Drawing and priced in the quote.
2. DECLINED RECOMMENDATIONS
PrimeFlow may recommend larger gutters, additional or oversized downspouts, extra runs, gutter guards, fascia replacement, or other upgrades as optional or recommended line items on the quote. Declined Recommendations means: (a) any optional or recommended line items shown on the quote that the customer did not select; and (b) any items expressly noted as declined on the quote. Conditions resulting from Declined Recommendations are excluded from warranty coverage.
3. RIGHT TO SUSPEND OR RESCHEDULE FOR NON-PAYMENT
PrimeFlow Gutters may suspend, withhold, or reschedule work when a required payment is not received and may withhold warranty service until the account is paid in full. Warranty coverage is not effective / is void until paid in full. Reasonable remobilization, storage, restocking, and administrative charges caused by customer delay or non-payment may be added to the balance.
4. WARRANTY
Warranty coverage is limited to the Limited Warranty and Disclaimer below (and manufacturer material warranties that pass through only as provided by the manufacturer). The Limited Warranty is the exclusive workmanship warranty and exclusive remedy (return and repair/complete at PrimeFlow’s option). Acceptance of the Limited Warranty is confirmed when the customer approves the quote.
Strict exclusions include: acts of God (hurricanes, tropical storms, named storms, tornadoes, hail, lightning, flood, falling trees/limbs); overflow during heavy or concentrated rainfall including roof-valley / concentrated flow exceeding capacity; Declined Recommendations; areas not on the Drawing; clogging and lack of cleaning; ladders, people, pets, roof work, other trades, pressure washing, holiday lights, alterations by others; pre-existing conditions; underground drainage, grading, erosion, pooling, landscaping, interior water damage; cosmetic issues; and consequential or incidental damages beyond repair of the gutter system. Warranty is not effective until final payment is received in full.
5. PRE-EXISTING AND UNAVOIDABLE CONDITIONS
PrimeFlow Gutters is not responsible for concealed wood rot; deteriorated fascia, soffit, stucco, roof edges, or framing; inadequate drainage design outside the quoted/Drawing work; hidden utilities; structural deficiencies; roof defects; improper drip edge; or reasonable incidental disturbance to landscaping, mulch, irrigation, paint, or finishes. Newly discovered repairs require a written change order. PrimeFlow is not responsible for rotten fascia, roof defects, grading, drainage, or underground drains unless expressly shown on the Drawing and priced.
6. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, PRIMEFLOW GUTTERS’ AGGREGATE LIABILITY ARISING FROM THE PROJECT WILL NOT EXCEED THE AMOUNT PAID UNDER THE AGREEMENT. PRIMEFLOW GUTTERS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGE BEYOND THE IMMEDIATE WORK AREA OR INTERIOR WATER DAMAGE, EXCEPT WHERE LIABILITY CANNOT LEGALLY BE LIMITED.
7. WEATHER, SUPPLY, AND FORCE MAJEURE DELAYS
Schedules are estimates and may be extended by unsafe weather, rain, storms, supply interruptions, labor or transportation disruptions, governmental action, acts of God, or other conditions beyond reasonable control. Such delays do not constitute breach and do not create a right to damages or payment withholding.
8. CUSTOMER-CAUSED DELAYS
If the project is delayed 14 or more calendar days because the customer fails to provide access, required approvals, payment, change-order decisions, or timely scheduling responses, PrimeFlow Gutters may pause, reschedule, or terminate the project. The customer remains responsible for incurred materials, labor, mobilization, restocking, storage, and administrative costs. The deposit may be applied to those costs and is non-refundable to that extent.
9. CHANGE ORDERS
Any change to scope, price, materials, placement, Drawing, or schedule must be documented in writing and accepted by both parties (including electronic acceptance through PrimeFlow’s quoting system such as Jobber where available). Verbal requests or field discussions do not modify the agreement. Additional work will be charged separately at the stated or then-current rate.
10. COLLECTION COSTS AND ATTORNEY FEES
To the extent permitted by law, the customer agrees to pay reasonable collection costs, court costs, attorney fees, and accrued interest incurred to collect an unpaid balance, whether or not a lawsuit is filed. The prevailing party in any dispute arising from this agreement is entitled to reasonable attorney’s fees and costs.
11. CHAPTER 558 NOTICE OF CLAIM (FLA. STAT. § 558.005)
ANY CLAIMS FOR CONSTRUCTION DEFECTS ARE SUBJECT TO THE NOTICE AND CURE PROVISIONS OF CHAPTER 558, FLORIDA STATUTES.
CHAPTER 558 NOTICE OF CLAIM. CHAPTER 558, FLORIDA STATUTES, CONTAINS IMPORTANT REQUIREMENTS YOU MUST FOLLOW BEFORE YOU MAY BRING ANY LEGAL ACTION FOR AN ALLEGED CONSTRUCTION DEFECT. SIXTY DAYS BEFORE YOU BRING ANY LEGAL ACTION, YOU MUST DELIVER TO THE OTHER PARTY TO THIS CONTRACT A WRITTEN NOTICE, REFERRING TO CHAPTER 558, OF ANY CONSTRUCTION CONDITIONS YOU ALLEGE ARE DEFECTIVE AND PROVIDE SUCH PERSON THE OPPORTUNITY TO INSPECT THE ALLEGED CONSTRUCTION DEFECTS AND TO CONSIDER MAKING AN OFFER TO REPAIR OR PAY FOR THE ALLEGED CONSTRUCTION DEFECTS. YOU ARE NOT OBLIGATED TO ACCEPT ANY OFFER WHICH MAY BE MADE. THERE ARE STRICT DEADLINES AND PROCEDURES UNDER THIS FLORIDA LAW WHICH MUST BE MET AND FOLLOWED TO PROTECT YOUR INTERESTS.
12. FLORIDA HOMEOWNERS’ CONSTRUCTION RECOVERY FUND (FLA. STAT. § 489.1425)
FLORIDA HOMEOWNERS’ CONSTRUCTION RECOVERY FUND: PAYMENT, UP TO A LIMITED AMOUNT, MAY BE AVAILABLE FROM THE FLORIDA HOMEOWNERS’ CONSTRUCTION RECOVERY FUND IF YOU LOSE MONEY ON A PROJECT PERFORMED UNDER CONTRACT, WHERE THE LOSS RESULTS FROM SPECIFIED VIOLATIONS OF FLORIDA LAW BY A LICENSED CONTRACTOR. FOR INFORMATION ABOUT THE RECOVERY FUND AND FILING A CLAIM, CONTACT THE FLORIDA CONSTRUCTION INDUSTRY LICENSING BOARD AT THE FOLLOWING TELEPHONE NUMBER AND ADDRESS:
Florida Construction Industry Licensing Board / Recovery Fund, 2601 Blair Stone Road, Tallahassee, FL 32399-1039. Telephone: (850) 921-6593.
13. PERMITS, ACCESS, AND SITE RESPONSIBILITIES
Unless the approved quote states otherwise, the customer is responsible for obtaining and paying for required permits and HOA or architectural approvals. The customer will provide safe and reasonable access, electrical power and water when reasonably necessary, secure pets and valuables, disclose known hazards and underground or concealed systems, and remove obstacles from work areas.
14. DISPUTES; GOVERNING LAW
The parties will first attempt good-faith resolution and then non-binding mediation before filing suit, except for lien preservation, emergency relief, or collection of an undisputed amount. Florida law governs. Venue will lie in Orange County, Florida, unless applicable law requires otherwise or the parties agree in writing to the county of the project location.
15. ENTIRE AGREEMENT; SEVERABILITY; ELECTRONIC ACCEPTANCE
The approved estimate or quote, the Drawing, accepted change orders, and these Terms & Conditions and Limited Warranty are the entire agreement and supersede prior discussions. If a provision is unenforceable, the remaining provisions continue in effect. Electronic approval of the quote (including electronic signature in Jobber or another PrimeFlow quoting system) is intended to be binding and may be treated as an original signature.
16. FLORIDA CONSTRUCTION LIEN LAW DISCLOSURE (FLA. STAT. § 713.015)
By approving the quote (including by electronic signature in Jobber), the customer acknowledges receipt of this disclosure.
ACCORDING TO FLORIDA’S CONSTRUCTION LIEN LAW (SECTIONS 713.001-713.37, FLORIDA STATUTES), THOSE WHO WORK ON YOUR PROPERTY OR PROVIDE MATERIALS AND SERVICES AND ARE NOT PAID IN FULL HAVE A RIGHT TO ENFORCE THEIR CLAIM FOR PAYMENT AGAINST YOUR PROPERTY. THIS CLAIM IS KNOWN AS A CONSTRUCTION LIEN. IF YOUR CONTRACTOR OR A SUBCONTRACTOR FAILS TO PAY SUBCONTRACTORS, SUB-SUBCONTRACTORS, OR MATERIAL SUPPLIERS, THOSE PEOPLE WHO ARE OWED MONEY MAY LOOK TO YOUR PROPERTY FOR PAYMENT, EVEN IF YOU HAVE ALREADY PAID YOUR CONTRACTOR IN FULL. IF YOU FAIL TO PAY YOUR CONTRACTOR, YOUR CONTRACTOR MAY ALSO HAVE A LIEN ON YOUR PROPERTY. THIS MEANS IF A LIEN IS FILED YOUR PROPERTY COULD BE SOLD AGAINST YOUR WILL TO PAY FOR LABOR, MATERIALS, OR OTHER SERVICES THAT YOUR CONTRACTOR OR A SUBCONTRACTOR MAY HAVE FAILED TO PAY. TO PROTECT YOURSELF, YOU SHOULD STIPULATE IN THIS CONTRACT THAT BEFORE ANY PAYMENT IS MADE, YOUR CONTRACTOR IS REQUIRED TO PROVIDE YOU WITH A WRITTEN RELEASE OF LIEN FROM ANY PERSON OR COMPANY THAT HAS PROVIDED TO YOU A “NOTICE TO OWNER.” FLORIDA’S CONSTRUCTION LIEN LAW IS COMPLEX, AND IT IS RECOMMENDED THAT YOU CONSULT AN ATTORNEY.
PrimeFlow preserves all lien rights under Fla. Stat. ch. 713.
LIMITED WARRANTY AND DISCLAIMER
THIS IS A LIMITED WARRANTY. It is the exclusive written warranty given by PrimeFlow Gutters for workmanship on the Project. Manufacturer material warranties, if any, pass through only as provided by the applicable manufacturer and are not expanded by these terms.
W-1. Who Is Covered; Transfer. This Limited Warranty is provided solely to the original contracting customer named on the approved quote. It is NON-TRANSFERABLE except that PrimeFlow may, in writing and for a transfer fee, consent to a one-time transfer to a subsequent owner of the property. Absent such written consent, this Limited Warranty ends upon transfer of the property.
W-2. Workmanship Term. Subject to the conditions and exclusions below, PrimeFlow warrants that its installation workmanship for components shown on the Drawing attached to or included in the approved quote will be free from Covered Defects for seven (7) years from the date of substantial completion (or such other term as stated on the approved quote).
W-3. What Is Covered (Covered Defects). A “Covered Defect” means a workmanship defect in PrimeFlow’s installation of what is shown on the Drawing, limited to:
- A component expressly shown on the Drawing that was not installed (missing end cap, hanger, downspout, outlet, miter, or section shown on the Drawing);
- Leaking seams, joints, or end caps resulting from PrimeFlow’s installation;
- Sagging or detachment of the gutter system caused by PrimeFlow’s installation;
- Improper pitch causing standing water under normal rainfall (approx. 1/4 inch per 10 feet of run, or as marked on the Drawing), excluding roof valleys, concentrated flow exceeding capacity, clogging, or declined capacity upgrades.
W-4. Sole and Exclusive Remedy. PRIMEFLOW’S SOLE OBLIGATION, AND THE CUSTOMER’S EXCLUSIVE REMEDY FOR ANY COVERED DEFECT, IS THAT PRIMEFLOW WILL, AT ITS OPTION, RETURN TO THE PROPERTY AND REPAIR OR COMPLETE THE DEFECTIVE WORKMANSHIP. THIS LIMITED WARRANTY IS THE EXCLUSIVE REMEDY. NO OTHER REMEDY IS AVAILABLE UNDER THIS WARRANTY EXCEPT AS REQUIRED BY LAW THAT CANNOT BE WAIVED.
W-5. Manufacturer Material Warranties. Any warranty on materials is provided solely by the manufacturer under that manufacturer’s published terms. PrimeFlow does not expand, adopt, or guarantee manufacturer warranties beyond pass-through of whatever coverage the manufacturer actually provides.
W-6. STRICT EXCLUSIONS — NOT COVERED. This Limited Warranty does NOT cover:
- Acts of God / severe weather: hurricanes, tropical storms, named storms, tornadoes, hail, lightning, flood, wind-driven rain, storm surge, falling trees or limbs.
- Overflow / capacity: overflow during heavy or concentrated rainfall, including roof valleys or areas exceeding system capacity (including where the customer declined larger gutters, additional/oversized downspouts, or extra runs).
- Declined Recommendations: conditions from optional/recommended line items on the quote that the customer did not select, and any items noted as declined on the quote.
- Areas not on the Drawing: any area or component not shown on the Drawing attached to or included in the approved quote.
- Maintenance / clogging: leaves, debris, nests, or lack of cleaning; leaf guards reduce but do not eliminate cleaning needs.
- Third-party / impact / alteration: ladders, people, pets, roof work, other trades, pressure washing, holiday lights, alterations by others.
- Pre-existing conditions: rotted fascia, roof defects, soffit, improper roof pitch or drip edge, structural movement, settlement.
- Ice / fall hazards (general): ice dams, freeze/thaw, and slip/fall or personal-injury claims.
- Site drainage / consequential: underground drainage, grading, erosion, pooling, landscaping, irrigation, interior water damage.
- Cosmetic issues: minor oil-canning, fading, chalking, color variation, ordinary weathering.
- Damages beyond the gutter system: no consequential, incidental, special, exemplary, or punitive damages.
W-7. Claim Procedure. Give written notice to PrimeFlow (8012 Palm Lake Drive, Orlando, FL 32819 or info@primeflowgutters.com) within thirty (30) days after discovery, with description and photos; allow inspection within a reasonable time (typically within ten (10) business days of a complete notice, subject to scheduling). PrimeFlow determines coverage in good faith. If not covered, a trip/inspection fee may apply.
W-8. Conditions; Voiding Events. This Limited Warranty is void or not in effect if: (a) any Project balance remains unpaid; (b) the system was altered by others; (c) written notice was not given as required; or (d) the claim falls within an Exclusion.
W-9. DISCLAIMER OF IMPLIED WARRANTIES. TO THE FULLEST EXTENT PERMITTED BY FLORIDA LAW, PRIMEFLOW DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ANY IMPLIED WARRANTY OF HABITABILITY OR WORKMANLIKE PERFORMANCE, EXCEPT TO THE EXTENT SUCH DISCLAIMER IS PROHIBITED. WHERE A DISCLAIMER IS NOT PERMITTED, THE DURATION OF ANY IMPLIED WARRANTY IS LIMITED TO THE SHORTEST PERIOD PERMITTED BY LAW OR TO THE WORKMANSHIP TERM STATED ABOVE, WHICHEVER IS SHORTER. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS OR THE EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THAT EXTENT. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE.
W-10. Limitation of Liability (Warranty Claims). EXCEPT WHERE LIABILITY CANNOT LEGALLY BE LIMITED, PRIMEFLOW’S AGGREGATE LIABILITY FOR ANY WARRANTY CLAIM SHALL NOT EXCEED THE AMOUNT PAID TO PRIMEFLOW FOR THE PROJECT, AND PRIMEFLOW SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
W-11. Magnuson-Moss Labeling. This is labeled a “LIMITED WARRANTY” for purposes of the Magnuson-Moss Warranty Act to the extent that Act applies. It is not a full warranty.
This Limited Warranty and Disclaimer is accepted by the customer upon approving the quote (including by electronic signature in Jobber). No separate customer signature is required. Warranty coverage is not effective until the Project is paid in full.
